SUBSCRIPTION SPECIFIC TERMS
(Alphabetical Order)

In addition to the terms of the Agreement and Supplement, those Subscription specific terms below (displayed by selecting the Cloudera Offering name) for the Subscription Cloudera Offering(s) included in the Order Form apply to such Subscriptions:
CLOUDERA AI
Customer acknowledges and agrees that its access to and use of the Cloudera AI product is also subject to the following additional terms:
(a) During the entirety of the Subscription Period for Cloudera AI (“Cloudera AI Term”), Customer must have a current valid Subscription for Cloudera Data Services on premises – Data Services (Classic). Cloudera AI requires dedicated Cloudera Compute Units (“CCUs") that may be in excess of the CCU Subscriptions purchased under the Cloudera Data Services on premises – Data Services (Classic) Subscription, in which case Customer acknowledges and agrees that it has purchased Subscriptions for the applicable number of incremental CCUs under the Order Form or another applicable Order Form. In the event that the Subscription Period for the Cloudera Data Services on premises – Data Services (Classic) Subscription expires during the Cloudera AI Term, the Cloudera AI rights and licenses granted to Customer under the Order Form will immediately terminate and Customer will not be entitled to any refund of prepaid and unused fees in connection with Cloudera AI and the Order Form.
(b) Fees.
(i) Fees for Unique Identifier Blocks (“users”) are non-cancelable and non-refundable, whether or not all Unique Identifiers are used during the Cloudera AI Term.
(ii) During the Cloudera AI Term, Customer may elect to add users that exceed the quantity of Unique Identifier Blocks included in the Subscription as set forth in the Order Form, and Customer shall notify Cloudera of its elected addition. In the event that during the Cloudera AI Term, Customer (i) elects to add Unique Identifier Blocks or (ii) exceeds the quantity of Unique Identifiers in a Unique Identifier Block included in the Subscription, the fees for applicable additional Unique Identifier Blocks will be calculated for the period commencing immediately upon the date when the Unique Identifiers increased (whether used or not). The Subscription Period of the additional Unique Identifier Blocks will be pro-rated such that it will terminate on the same date as the existing Cloudera AI Term.
(iii) Upon receipt of Customer’s purchase order or Order Form for any additional Unique Identifier Blocks purchased, Cloudera will invoice Customer the applicable fees. Further, if during a Subscription Period Customer exceeds the quantity of Unique Identifiers in a Unique Identifier Block included in a Subscription as set forth in the Order Form, Cloudera will invoice the applicable fees.
(c) Cloudera may provide, or provide access to, optional software, such as AI accelerators, Hugging Face Spaces, and AI models, which software constitutes reference AI projects (“Reference Projects”), that Customer may use for creating Customer’s AI projects. Cloudera makes Reference Projects available “as is,” without warranty or Support of any kind, and Cloudera is not liable to Customer in any way for Customer’s use of Reference Projects. Customer acknowledges that use of Reference Projects may: (i) cause third party software (e.g., third-party large language models) to be downloaded into Customer’s environment, and/or (ii) enable third-party services (e.g., third-party AI services) and transmission of data and metadata to such third-party service providers. Customer’s use of Reference Projects is subject to all applicable license terms and/or terms of use, including any third-party license terms.
CLOUDERA BASE ON PREMISES
(a) The Support Services for Cloudera Base on premises will be based on the support level(s) associated with the subscriptions purchased by Customer in the Order Form.
(b) Additional Entitlements provided with Cloudera Base on premises. Cloudera will also provide Customer with access to Cloudera Observability Essential, a Cloudera Online Service, subject to the terms applicable to Cloudera Observability Essential specified in the Order Form.
CLOUDERA BASE ON PREMISES - DATA ENGINEERING EDITION
(a) In connection with Customer’s purchase of Cloudera Base on premises - Data Engineering Edition, Cloudera will provide Customer with access to download the software package(s) listed in the “Download Package” column of the table below; provided however, that Customer’s license and Support Service entitlements extend only to the software components listed in the “Cloudera Base on premises - Data Engineering Edition Software” column of the table. For avoidance of doubt, although Customer may have access to download additional components as part of a Download Package, only the Cloudera Base on premises - Data Engineering Edition Software components specified in the table below are licensed to Customer and supported by Cloudera as part of Customer’s Subscription to Cloudera Base on premises - Data Engineering Edition.

Cloudera will also provide Customer with access to Cloudera Observability Essential, a Cloudera Online Service, subject to the terms applicable to Cloudera Observability Essential specified in the Order Form.
CLOUDERA BASE ON PREMISES - DATA WAREHOUSE EDITION
(a) In connection with Customer’s purchase of Cloudera Base on premises - Data Warehouse Edition, Cloudera will provide Customer with access to download the software package(s) listed in the “Download Package” column of the table below; provided, however, that Customer’s license and Support Service entitlements extend only to the software components listed in the “Cloudera Base on premises - Data Warehouse Edition Software” column of the table. For avoidance of doubt, although Customer may have access to download additional components as part of a Download Package, only the Cloudera Base on premises - Data Warehouse Edition Software components specified in the table below are licensed to Customer and supported by Cloudera as part of Customer’s Subscription to Cloudera Base on premises - Data Warehouse Edition.

CLOUDERA BASE ON PREMISES - ESSENTIALS EDITION
(a) In connection with Customer’s purchase of Cloudera Base on premises - Essentials Edition, Cloudera will provide Customer with access to download the software package(s) listed in the “Download Package” column of the table below; provided, however, that Customer’s license and Support Services entitlements extend only to the software components listed in the “Cloudera Base on premises - Essentials Edition Software” column of the table. For avoidance of doubt, although Customer may have access to download additional components as part of a Download Package, only the Cloudera Base on premises - Essentials Edition Software components specified in the table below are licensed to Customer and supported by Cloudera as part of Customer’s Subscription to Cloudera Base on premises - Essentials Edition.

(b) Additional Entitlements provided with Cloudera Base on premises - Essentials Edition. Cloudera will also provide Customer with access to Cloudera Observability Essential, a Cloudera Online Service, subject to the terms applicable to Cloudera Observability Essential specified in the Order Form.
CLOUDERA BASE ON PREMISES - OPERATIONAL DATABASE EDITION
(a) In connection with Customer’s purchase of Cloudera Base on premises - Operational Database Edition, Cloudera will provide Customer with access to download the software package(s) listed in the “Download Package” column of the table below; provided, however, that Customer’s license and Support Services entitlements extend only to the software components listed in the “Cloudera Base on premises - Operational Database Edition Software” column of the table. For avoidance of doubt, although Customer may have access to download additional components as part of a Download Package, only the Cloudera Base on premises - Operational Database Edition Software components specified in the table below are licensed to Customer and supported by Cloudera as part of Customer’s Subscription to Cloudera Base on premises - Operational Database Edition.

Cloudera will also provide Customer with access to Cloudera Observability Essential, a Cloudera Online Service, subject to the terms applicable to Cloudera Observability Essential specified in the Order Form.
CLOUDERA DATA LINEAGE
Cloudera Data Lineage is a Cloudera Online Service. Further, if the Agreement does not include terms for Cloudera’s provision of Cloudera Online Services, the terms at https://www.cloudera.com/legal/terms-and-conditions/cloudera-online-services-terms.html apply to Customer’s use of Cloudera Data Lineage.
CLOUDERA DATA SERVICES ON PREMISES – DATA SERVICES (CLASSIC)
(a) Subscription fees for Cloudera Data Services on premises – Data Services (Classic) are based on the applicable Support Service level purchased by the Customer and the computation capacity contained in the hardware configuration across Customer’s cluster or environment. The fees associated with the Customer’s computation capacity are measured in the Metric of Cloudera Compute Units that correspond to the computation capacity in Customer’s cluster or environment.
(b) Additional Entitlements provided with Cloudera Data Services on premises – Data Services (Classic). Cloudera will also provide Customer with access to Cloudera Observability Essential, a Cloudera Online Service, subject to the terms applicable to Cloudera Observability Essential specified in the Order Form.
(c) In connection with Customer’s purchase of Cloudera Data Services on premises – Data Services (Classic), Cloudera will provide Customer with access to download a software package that includes more components than Cloudera Data Services on premises – Data Services (Classic). Notwithstanding the foregoing, Customer’s license and Support Service Subscription entitlements are limited to Cloudera Data Services on premises – Data Services (Classic), and Customer's use of any other software components included with such download package is not permitted unless Customer has also purchased a Subscription for such components.
CLOUDERA DATA SERVICES ON PREMISES – AI INFERENCE SERVICE
(a) Subscription fees for Cloudera Data Services on premises – AI Inference Service are based on the applicable Support Service level purchased by the Customer and the computation capacity contained in the hardware configuration across Customer’s cluster or environment. The fees associated with the Customer’s computation capacity are measured in the Metric of Cloudera Compute Units that correspond to the computation capacity in Customer’s cluster or environment.
(b) In connection with Customer’s purchase of Cloudera Data Services on premises – AI Inference Service, Cloudera will provide Customer with access to download a software package that includes more components than Cloudera Data Services on premises – AI Inference Service. Notwithstanding the foregoing, Customer’s license and Support Service Subscription entitlements are limited to Cloudera Data Services on premises – AI Inference Service, and Customer's use of any other software components included with such download package is not permitted unless Customer has also purchased a Subscription for such components.
CLOUDERA DATA SERVICES ON PREMISES – AI WORKBENCH SERVICE
(a) Subscription fees for Cloudera Data Services on premises – AI Workbench Service are based on the applicable Support Service level purchased by the Customer and the computation capacity contained in the hardware configuration across Customer’s cluster or environment. The fees associated with the Customer’s computation capacity are measured in the Metric of Cloudera Compute Units that correspond to the computation capacity in Customer’s cluster or environment.
(b) In connection with Customer’s purchase of Cloudera Data Services on premises – AI Workbench Service, Cloudera will provide Customer with access to download a software package that includes more components than Cloudera Data Services on premises – AI Workbench Service. Notwithstanding the foregoing, Customer’s license and Support Service Subscription entitlements are limited to Cloudera Data Services on premises – AI Workbench Service, and Customer's use of any other software components included with such download package is not permitted unless Customer has also purchased a Subscription for such components.
CLOUDERA DATA VISUALIZATION ON PREMISES - PLATFORM
Cloudera Data Visualization on premises - Platform is limited to use in conjunction with separately purchased Subscriptions of Cloudera Base on premises and/or Cloudera Data Services on premises – Data Services (Classic).
CLOUDERA EDGE MANAGEMENT
Cloudera Edge Management is a Subscription for Cloudera Edge Flow Manager and MiNiFi software.
CLOUDERA FLOW MANAGEMENT
(a) Cloudera Flow Management Software. Cloudera will provide Customer with access to download the software packages listed in the “Download Package” column of the table below; provided, however, that Customer’s license and Support Service entitlements extend only to the software components listed under the “Cloudera Flow Management Software” column of the table. For avoidance of doubt, although Customer may have access to download additional components as part of a Download Package, only those software components specified in the table below are licensed and supported by Cloudera as part of Customer’s Subscription to Cloudera Flow Management.

CLOUDERA FLOW MANAGEMENT OPERATOR FOR KUBERNETES
The Support Services for Cloudera Flow Management Operator for Kubernetes will be based on the support level(s) associated with the subscriptions purchased by Customer in the Order Form.
Subscription fees for Cloudera Flow Management Operator for Kubernetes are based on the applicable Support Service level purchased by Customer and the computation capacity specified by Customer in the Order Form across Customer’s cluster or environment. The fees associated with Customer’s computation capacity are measured in the Metric of Cloudera Compute Units that correspond to the maximum computation capacity that Customer is licensed to use in Customer’s cluster or environment.
CLOUDERA OBSERVABILITY ESSENTIAL
Cloudera Observability Essential is a Cloudera Online Service that is delivered at no additional charge with Customer's purchase of Subscriptions to Cloudera Base on premises and Cloudera Data Services on premises – Data Services (Classic). Further, if the Agreement does not include terms for Cloudera’s provision of Cloudera Online Services, the terms at https://www.cloudera.com/legal/terms-and-conditions/cloudera-online-services-terms.html apply to Customer’s use of Cloudera Observability Essential.
CLOUDERA OBSERVABILITY ON PREMISES
Cloudera Observability on premises is a Cloudera Software Product that is deployed on Customer’s premises.
CLOUDERA OBSERVABILITY PREMIUM
Cloudera Observability Premium is a Cloudera Online Service. Further, if the Agreement does not include terms for Cloudera’s provision of Cloudera Online Services, the terms at https://www.cloudera.com/legal/terms-and-conditions/cloudera-online-services-terms.html apply to Customer’s use of Cloudera Observability Premium.
CLOUDERA OBSERVABILITY PREMIUM ON CLOUD
Cloudera Observability Premium on cloud is a Cloudera Online Service that may be used in conjunction with Customer's use of Cloudera on cloud. Customer will be invoiced for usage of Cloudera Observability Premium on cloud in accordance with the Cloud Usage Pricing and Billing Terms at https://www.cloudera.com/legal/terms-and-conditions/cloud-usage-pricing-terms.html
CLOUDERA ON CLOUD
Cloudera on cloud is a Cloudera Online Service. Further:
(a) If the Agreement does not include terms for Cloudera’s provision of Cloudera Online Services, the terms at https://www.cloudera.com/legal/terms-and-conditions/cloudera-online-services-terms.html apply to such Cloudera Online Services.
(b) The Cloud Usage Pricing and Billing Terms at https://www.cloudera.com/legal/terms-and-conditions/cloud-usage-pricing-terms.html also apply.
CLOUDERA ON CLOUD PAYGO ENTITLEMENT
The Cloudera on cloud PayGo Entitlement allows Customer to use Cloudera on cloud on a pay-as-you-go basis. Cloudera on cloud is a Cloudera Online Service. Further:
(a) If the Agreement does not include terms for Cloudera’s provision of Cloudera Online Services, the terms at https://www.cloudera.com/legal/terms-and-conditions/cloudera-online-services-terms.html apply to such Cloudera Online Services.
(b) Customer will be invoiced for usage of Cloudera on cloud in accordance with the Pay-As-You-Go terms set forth in the Cloud Usage Pricing and Billing Terms at https://www.cloudera.com/legal/terms-and-conditions/cloud-usage-pricing-terms.html.
CLOUDERA STREAMING ADD-ON TO CLOUDERA BASE ON PREMISES
Use of Cloudera Streaming add-on to Cloudera Base on premises is limited to use in conjunction with Customer's Subscription(s) to Cloudera Base on premises, and the Support Service level for Cloudera Streaming add-on to Cloudera Base on premises purchased under the Order Form must be the same Support Service level as purchased for such Cloudera Base on premises Subscription(s). A Subscription to Cloudera Streaming add-on to Cloudera Base on premises must be purchased for the entire cluster for any Customer cluster in which Cloudera Streaming add-on to Cloudera Base on premises is installed.
CLOUDERA STREAMING BASE ON PREMISES
(a) Cloudera Streaming Base on premises Software. Cloudera will provide Customer with access to download Cloudera Base on premises; provided, however, that Customer’s license and Support Service entitlements extend only to the following software components: Atlas, Cloudera Manager, HBase, HDFS, Kafka, Kafka Streams, Knox, Ranger, Schema Registry, Solr, and Zookeeper (together, the “Cloudera Streaming Base on premises Software”). For avoidance of doubt, although Customer may have access to download additional components as part of Cloudera Base on premises, only the Cloudera Streaming Base on premises Software is licensed and supported by Cloudera as part of Customer’s Subscription to Cloudera Streaming Base on premises.
(b) Additional Entitlements provided with Cloudera Streaming Base on premises. Cloudera will also provide Customer with access to download Cloudera Streaming for Cloudera Manager; however, Customer is advised that no Support Services of any kind will be provided for such downloaded software.
CLOUDERA STREAMING OPERATOR FOR KUBERNETES
The Support Services for Cloudera Streaming Operator for Kubernetes will be based on the support level(s) associated with the subscriptions purchased by Customer in the Order Form.
Subscription fees for Cloudera Streaming Operator for Kubernetes are based on the applicable Support Service level purchased by Customer and the computation capacity specified by Customer in the Order Form across Customer’s cluster or environment. The fees associated with Customer’s computation capacity are measured in the Metric of Cloudera Compute Units that correspond to the maximum computation capacity that Customer is licensed to use in Customer’s cluster or environment.
CLOUDERA STREAMING ON PREMISES
(a) Cloudera Streaming on premises Software. Cloudera will provide Customer with access to download the software packages listed in the “Download Package” column of the table below; provided, however, that Customer’s license and Support Service entitlements extend only to the software components listed under the “Cloudera Streaming on premises Software” column of the table. For avoidance of doubt, although Customer may have access to download additional components as part of a Download Package, only those software components specified in the table below are licensed and supported by Cloudera as part of Customer’s Subscription to Cloudera Streaming on premises.

(b) Additional Entitlements provided with Cloudera Streaming on premises. Cloudera will also provide Customer with access to download the following additional legacy software packages: (i) Cloudera Stream Processing for Cloudera Manager; and (ii) Cloudera Streams Management for Cloudera Manager. Customer is advised that no Support Services of any kind will be provided for such legacy software packages.
CUSTOMER SUCCESS MANAGER
Customer Success Manager activities are further described in and subject to the terms set forth at https://www.cloudera.com/legal/terms-and-conditions/customer-success-manager-services/customer-success-manager-datasheet.html. Notwithstanding any contrary term or condition of the Agreement, upon Customer’s execution of the Order Form or Cloudera’s receipt of a Customer purchase order referencing the Order Form number, Cloudera will invoice Customer for the Customer Success Manager specified therein.
